Terms and conditions for customers transferring formulations onto a production system and limitation on liability

Introduction:

The purpose of this document is to provide the terms and conditions for the implementation of formulations into the feed mill for production. The aim of these steps is to mitigate risk or error when formulations are sent and then imported into the mill’s system.

Currently, all formulations are sent from Feed First/Fundamental Feed/Feed Hub in electronic format via email. Formulations are sent in Excel format, accompanied by a PDF copy of the same formulations. An export file in a specified format can also be included depending on the requirement.

Conversion tools:

Feed First/Fundamental Feed/Feed Hub do not accept any responsibility for the accuracy of formulas that were converted by Feed First/Fundamental Feed/Feed Hub tools or by the CUSTOMER tools.

Roles and Responsibilities:

  1. Feed First/Fundamental Feed/Feed Hub is responsible for sending out accurate formulations, updated for the correct pricing and matrix values.
  2. Feed First/Fundamental Feed/Feed Hub is responsible for sending out complete formulations, and the mill is not expected to make any adulterations to the formulation.
  3. Customer-requested hand additions might be added by the feed mill (e.g. medications).
  4. The client is responsible for importing the formulations into the feed mill via Kairos, Promtek, Inteqnion, or other programs.
  5. Feed First/Fundamental Feed/Feed Hub do not accept any responsibility for the accuracy of formulas that were converted by Feed First/Fundamental Feed/Feed Hub tools or by the CUSTOMER tools.
  6. If the import process is automated, Feed First/Fundamental Feed/Feed Hub and their employees, directors, and subcontractors will not accept any responsibility for any errors in the formulas.
  7. Excel formats are sent for ease of further calculation but should not be used as a master document as it is too easy to accidentally change something on the Excel file. Even rounding can have catastrophic consequences.
  8. Before production commences, it is the responsibility of the client to verify that the final formulas on the production system are correct (after automatic import or manual reading in of formulas).
  9. It is recommended that the formulas on the production system are printed and signed off by the client.
  10. The PDF format of the file, and only the PDF format, will be used to verify that the formulas are correct and the correct formulas are on the system.
  11. The diet codes and names must be verified as correct and corresponding with the client’s systems.
  12. The “FORMULATION” codes for raw materials should be verified as correct. For example, if code 500 is used for Choline Chloride in the formulation, then 500 should also be the code for Choline Chloride on the mill’s system.
  13. Verify that no unwanted rounding took place.
  14. The codes and names of premixes used should be checked.
  15. The medication and additive concentration must be verified (e.g., flavomycin 0.8% vs 8%).
  16. The QC specification (protein) on the PDF formulas must be the same as on the electronic import file.
  17. If deviations are encountered during this process, the client should start the troubleshooting process, and production should under no circumstances proceed. Contact the nutritionist and explain the issue.
  18. If this process is not followed, the client hereby indemnifies Feed First/Fundamental Feed/Feed Hub from any claims.

Limitation of Liability:

Feed First/Fundamental Feed/Feed Hub and its Directors’ insurance are limited and, unless specified differently in their consultation contract, the maximum claim amount for any claim or claims against Feed First/Fundamental Feed/Feed Hub and its directors in relation to consultation, contractual services, formulations, or analytical and laboratory services, will be limited to R 10,000,000 (ZAR). The customer hereby agrees that no claim(s) against Feed First/Fundamental Feed/Feed Hub and its Directors will exceed R 10,000,000 (ZAR).

By implementing, using formulations for costings or planning, or by using or implementing any advice received from Feed First/Fundamental Feed/Feed Hub and its directors, the customer accepts these terms and conditions.
